By accessing or using Asri ("Service"), operated by Asri Labs, Inc. ("Asri", "we", "our", or "us"), you ("User" or "you") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or otherwise using the Service, you represent that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy.

Asri is an AI-powered software development platform delivered as a Visual Studio Code extension and accompanying web services. The Service enables users to describe software architectures and workflows, which Asri uses to generate, scaffold, and build full-stack applications using artificial intelligence.

The Service includes, but is not limited to: AI-assisted code generation, project scaffolding, multi-model AI integration (including bring-your-own-key functionality), and associated developer tooling. Features, functionality, and availability are subject to change without prior notice.

You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case the terms 'you' and 'your' will refer to such entity.

To access certain features of the Service, you may be required to register for an account. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. Asri will not be liable for any losses arising from unauthorized access resulting from your failure to safeguard your credentials.

We reserve the right to terminate or suspend accounts at our sole discretion, including if you violate these Terms or engage in conduct we deem harmful to the Service, other users, or third parties.

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You shall not:

• Use the Service to generate, distribute, or store content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to Asri.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any underlying models, except as expressly permitted by applicable law.
• Use the Service in any manner that could damage, disable, overburden, or impair Asri's infrastructure or interfere with any other party's use of the Service.
• Reproduce, sell, resell, or exploit any portion of the Service without our express written permission.
• Use automated scripts to collect information from or otherwise interact with the Service in an unauthorized manner.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

The Service uses artificial intelligence to generate code, architecture suggestions, and other software artifacts. You acknowledge that AI-generated content may contain errors, bugs, security vulnerabilities, or inaccuracies. You are solely responsible for reviewing, testing, and validating all AI-generated output before use in any production environment.

Asri does not warrant that AI-generated content is fit for any particular purpose, free of defects, or compliant with applicable laws and regulations. Use of AI-generated content in your projects is entirely at your own risk.

By submitting prompts, descriptions, or other inputs to the Service, you grant Asri a non-exclusive, worldwide, royalty-free license to use such inputs solely to provide and improve the Service, subject to our Privacy Policy.

The Service and its original content, features, and functionality are and will remain the exclusive property of Asri Labs, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

Subject to these Terms, Asri grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You retain ownership of the final code and software artifacts you independently create using the Service, provided such output does not infringe any third-party intellectual property rights. Asri retains all rights in the Service, models, and underlying technology.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in that policy.

If you use the bring-your-own-key (BYOK) feature to integrate third-party AI model APIs (such as OpenAI, Anthropic, or Google), you are additionally subject to the terms and privacy policies of those providers. Asri is not responsible for the data practices of third-party services.

Asri offers both free and paid subscription tiers. The free tier is provided as-is without any payment obligation. Paid plans, where available, are billed on a subscription basis as described on our pricing page at the time of purchase.

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service. Subscription fees are non-refundable except where required by applicable law or as otherwise expressly stated.

We reserve the right to modify our pricing at any time with reasonable prior notice posted on our website or sent via email. Your continued use of a paid tier after such changes constitutes acceptance of the revised pricing.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ASRI LABS, INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASRI LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ASRI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to defend, indemnify, and hold harmless Asri Labs, Inc. and its licensors, service providers, employees, agents, officers, and directors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnifications, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@asri.dev. We will make a good-faith effort to resolve the matter within 30 days of receipt.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the effective date above and, where appropriate, by sending an email or displaying a notice within the Service.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the modified Terms, you must discontinue use of the Service.
